These Terms and Conditions ("Agreement") govern the use of services provided by Innovetix Global Pvt. Ltd. ("we", "us", "our"), a software development company. By accessing or using our website or services, you ("Client", "you", "your") agree to comply with and be bound by this Agreement. If you do not agree to these Terms and Conditions, please do not use our services.
1. Services Provided
Innovetix Global Pvt. Ltd. offers software development services, including but not limited to:
- Custom software development
- Web and mobile app development
- Software consulting
- System integrations
- IT support and maintenance
- Other related services as described on our website or agreed upon in contracts
The scope of services will be defined in individual agreements, contracts, or statements of work between Innovetix Global Pvt. Ltd. and the Client.
2. Service Agreement
The terms of any specific service project will be defined in a formal agreement or contract between the Client and Innovetix Global Pvt. Ltd., which may include a Statement of Work (SOW), project timelines, deliverables, pricing, and other project-specific terms. This Agreement outlines the general terms governing your use of our services.
3. Client Obligations
The Client agrees to:
- Provide accurate, complete, and timely information necessary for the completion of the services.
- Cooperate with Innovetix Global Pvt. Ltd. and provide feedback, approvals, and resources required for the development and delivery of services.
- Pay all fees for the services as outlined in the Agreement, in accordance with the payment terms specified.
- Ensure that the use of any materials or content provided to Innovetix Global Pvt. Ltd. does not infringe on third-party rights or violate any laws.
4. Payment Terms
a. Fees:
The Client agrees to pay the non-refundable fees for services rendered as outlined in the individual service contract or SOW.
b. Invoices:
We will issue invoices based on the agreed-upon payment schedule, which may be hourly, milestone-based, or a fixed price depending on the agreement.
c. Late Payments:
If the Client fails to make payments within the agreed time frame, Innovetix Global Pvt. Ltd. may suspend work or terminate the service agreement. Late payments may also incur interest charges, as outlined in the contract.
d. Taxes:
The Client is responsible for paying any applicable taxes, including sales tax, GST, or other taxes imposed by governmental authorities related to the provision of services.
5. Intellectual Property Rights
a. Ownership of Work Product:
Unless otherwise specified in the Agreement, all intellectual property rights to software, code, designs, documentation, and other work products created during the course of a project will remain with Innovetix Global Pvt. Ltd. until payment is made in full by the Client. Upon full payment, ownership rights to the deliverables will be transferred to the Client as outlined in the Agreement.
b. Licenses:
If specified in the Agreement, Innovetix Global Pvt. Ltd. may grant the Client a non-exclusive, non-transferable license to use certain materials, software, or tools for the duration of the contract or after completion.
c. Third-Party Materials:
The Client acknowledges that some services may incorporate third-party software or materials, which may be subject to separate licensing terms.
6. Confidentiality
a. Confidential Information:
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the relationship. This includes, but is not limited to, business plans, source code, technical information, customer lists, and marketing strategies.
b. Non-Disclosure:
The Client agrees not to disclose any confidential information to third parties without the prior written consent of Innovetix Global Pvt. Ltd., unless required by law.
c. Exceptions:
The confidentiality obligations will not apply to information that is publicly available, already in the possession of the receiving party, or independently developed by the receiving party.
7. Warranty and Disclaimer
a. Services Warranty:
Innovetix Global Pvt. Ltd. warrants that the services will be performed in a professional and workmanlike manner in accordance with industry standards. If the Client identifies any defects or issues with the work product, Innovetix Global Pvt. Ltd. will work to resolve the issues within a reasonable time frame.
b. No Guarantee of Results:
Innovetix Global Pvt. Ltd. does not guarantee specific outcomes, such as increased sales, traffic, or other performance metrics resulting from the services provided.
c. Limitations of Liability:
Innovetix Global Pvt. Ltd. shall not be liable for any direct or indirect, incidental, special, financial losses or consequential damages or any other kind of losses or damages arising from the use of the services or the software developed, even if advised of the possibility of such damages.
8. Termination
a. Termination by the Client:
The Client may terminate the Agreement at any time by providing written notice to Innovetix Global Pvt. Ltd. In such cases, the Client is responsible for paying for all work completed up to the date of termination, including any non-refundable costs incurred.
b. Termination by Innovetix Global Pvt. Ltd.:
We reserve the right to terminate the Agreement if the Client fails to meet payment obligations, provides inadequate or misleading information, or otherwise breaches the terms of this Agreement. Innovetix Global Pvt. Ltd. may also terminate the Agreement if we believe it is in the best interest of the company, with a refund for any unearned fees as appropriate.
c. Effects of Termination:
Upon termination, Innovetix Global Pvt. Ltd. will provide the Client with all completed work, and the Client will pay for services rendered up to the termination date.
9. Governing Law and Dispute Resolution
a. Governing Law:
This Agreement shall be governed by and construed in accordance with the laws of New Delhi, India.
b. Dispute Resolution:
Any disputes arising under or in connection with this Agreement will be resolved through mediation or arbitration, at the discretion of the parties. If arbitration is necessary, it will be conducted under the rules of New Delhi, India.
c. Venue:
Any legal action or proceeding arising under or in connection with this Agreement shall be conducted in the courts located in New Delhi, India.
10. Indemnification
The Client agrees to indemnify and hold Innovetix Global Pvt. Ltd. harmless from any claims, liabilities, damages, any kind of financial losses or costs arising from the use of our services, including any claims related to third-party intellectual property infringement, data loss, or other legal issues related to the Client's project.
11. Force Majeure
Innovetix Global Pvt. Ltd. shall not be held liable for any delay or failure in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, network failures, or governmental actions.
12. Modifications to the Terms
Innovetix Global Pvt. Ltd. reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. We will notify Clients of significant changes, but it is the Client's responsibility to review the Terms regularly.
13. Miscellaneous
a. Entire Agreement:
This Agreement constitutes the entire understanding between Innovetix Global Pvt. Ltd. and the Client regarding the services and supersedes all prior discussions or agreements.
b. Severability:
If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement will remain in full force and effect.
c. Waiver:
Failure to enforce any provision of this Agreement does not constitute a waiver of such provision.
